Foundation Statute
I. General Provisions
§1
The Foundation for the Support of Science, Education, and Entrepreneurship TERRA MEA, hereinafter referred to as the Foundation, operates under the Act of April 6, 1984, on Foundations and the provisions of this statute.
The Foundation was established by Michał Nowak-Pietrzyk and Magdalena Pietrzyk-Nowak, hereinafter referred to as the Founders, by a notarial deed prepared by notary Iga Karpet-Ożóg in Kraków on September 5, 2022 (Repertory A No. 6000/2022).
The Foundation may use the shortened name TERRA MEA Foundation.
The name of the Foundation in English is "TERRA MEA - Foundation towards development of Scientific Research, Education, and Entrepreneurship."
Operating abroad, the Foundation may use its name translated into other foreign languages.
§2
The Foundation's seat is Kraków.
The Foundation is established for an indefinite duration.
The Foundation operates throughout the territory of the Republic of Poland.
To achieve its statutory objectives, the Foundation may operate outside the country in compliance with the laws of other states.
The Foundation’s statutory tasks may be conducted in cooperation with other entities.
§3
The Foundation has legal personality.
The Minister of Education and Science supervises the Foundation.
§4
The Foundation collaborates with domestic, foreign, and international scientific, educational, non-governmental, and other institutions.
§5
The Foundation is apolitical and not affiliated with any religious denomination.
The Foundation uses seals with its identifying details.
The Foundation may establish certificates and badges and award them along with other prizes and distinctions to individuals or entities who contribute to the Foundation or assist in achieving its goals.
II. Objectives and Principles of Operation
§6
The purpose of the Foundation is to promote science, education, and entrepreneurship through:
Supporting scientists, researchers, experts, teachers, students, and research teams, as well as entrepreneurs working in fields of science, education, and technology significant for the civilizational, cultural, and economic development of Poland and its international prestige;
Integrating scientific, educational, and expert communities;
Supporting the inclusion of participants with special educational needs;
Initiating interdisciplinary knowledge and skill transfers;
Conducting and promoting innovative scientific and educational activities;
Promoting creativity and innovation in science and education;
Supporting the establishment of cross-sector partnerships utilizing scientific, technological, educational, and cultural potential;
Creating conditions for the development of social and cultural competencies of scientists, researchers, experts, teachers, and students;
Supporting investment initiatives serving science and education in Poland and abroad;
Developing and transferring innovations to ensure high-quality education and exchange of best practices;
Organizing and supporting scientific, educational, cultural, and artistic events;
Creating and promoting individualized forms of intellectual development;
Promoting social inclusion, diversity, environmental sustainability, and digital education;
Establishing educational initiatives aimed at equalizing knowledge resources and scientific and technological competencies;
Supporting youth, experts, scientists, and enthusiasts in the fields of modern technologies, media education, and humanities;
Supporting the development of youth, experts, scientists, and enthusiasts in communication skills, entrepreneurship, creativity, innovation, and market competencies;
Promoting modern and innovative educational solutions;
Promoting modern and innovative technological solutions;
Supporting and developing activities for science, education, and modern technology;
Conducting training, educational, and scientific activities.
§7
The Foundation fulfills its goals through:
a) Conducting popular-science, promotional, informational, and awareness-raising activities in line with the Foundation’s objectives;
b) Organizing workshops, training sessions, conferences, and specialist meetings;
c) Conducting research and publishing results;
d) Creating scientific, popular-science, and educational materials;
e) Organizing conferences, publications, meetings, and other public events to promote the Foundation’s objectives;
f) Collaborating with government bodies, local government units, and their organizational entities;
g) Conducting scientific, educational, and training programs in line with the Foundation’s objectives;
h) Collaborating in various forms with market and public entities;
i) Organizing support in various forms for scientific, academic, educational entities, NGOs, cultural institutions, and informal local initiative groups;
j) Awarding scholarships;
k) Creating and managing websites, services, tools, and multimedia applications, as well as other technological and communication forms;
l) Developing tools for scientific and technological potential development;
m) Building social engagement through public campaigns in line with the Foundation’s objectives;
n) Connecting individuals and projects domestically and internationally related to or with potential in the fields of science, education, and technology;
o) Collaborating with state institutions and social organizations operating in areas covered by the Foundation’s objectives, as well as domestic and international organizations interested in the Foundation’s goals.
The Foundation’s statutory activities described in §7(1) are non-profit and fully funded by the Foundation.
III. Assets and Revenue of the Foundation
§8
The assets of the Foundation consist of:
Property contributed by the Founders in the founding act amounting to PLN 2500 (in words: two thousand five hundred zlotys), constituting the Foundation's initial fund.
Financial, tangible, and legal resources acquired during the Foundation's operations.
§9
The Foundation's revenue may come from:
a) Donations, inheritances, bequests;
b) Grants and subsidies from legal entities;
c) Public collections, as defined by the Act of March 14, 2014, on the rules for conducting public collections;
d) The Foundation's assets;
e) Interest and bank deposits.All revenue obtained by the Foundation is exclusively allocated to its statutory activities.
IV. Foundation Authorities
§10
The authority of the Foundation is the Foundation's Management Board.
§11
The Management Board consists of 2 to 5 members, including the President, appointed by the Founders. A Founder may become a member of the Management Board.
The term of the Management Board is five years, starting on January 1 and ending on December 31. If a member is appointed during an ongoing term, they serve until the end of the term during which they were appointed.
The first term of the Management Board runs from the Foundation's establishment until December 31, 2027.
The role of a Management Board member may be held for more than one term.
Membership in the Management Board ceases due to:
a) Submission of a written resignation to the Management Board;
b) Loss of civil rights due to a final court conviction for an intentional offense;
c) Death of a Management Board member;
d) Dismissal by the Founder.Under the procedure described in §11(5d), the entire Management Board or any of its members may be dismissed.
§12
The Management Board directs the Foundation's activities and represents it externally.
The Management Board’s responsibilities include:
a) Managing the Foundation's ongoing activities;
b) Implementing statutory goals;
c) Preparing work plans and budgets;
d) Managing the Foundation's assets;
e) Representing the Foundation externally;
f) Hiring employees and determining their remuneration.
§13
Management Board meetings are held as needed but no less frequently than once every six months.
Meetings may be conducted via electronic communication, provided all members have access to such means, and none object to this format. Secret voting via electronic tools may occur, with the choice of tool determined by the President of the Foundation.
Decisions can also be made without a meeting if all members are informed in writing of the decision to be made and the deadline for submitting their written position, and none object to this mode of decision-making.
Meetings are convened by the President via email or registered mail (if email is unavailable) at least three days before the planned meeting.
All Management Board members must be notified of meetings. Notifications can be waived for members who declare in writing that they are aware of the meeting date. The Founders are also notified unless they are Management Board members.
Decisions are made by a simple majority of votes unless the statute specifies otherwise. In the event of a tie, the President's vote is decisive.
A protocol of the meeting, describing its course and decisions made, is prepared. The protocol is public.
V. Representation and Financial Commitments
§14
The President of the Management Board or two Management Board members acting jointly are authorized to make declarations of will on behalf of the Foundation, including financial matters.
VI. Final Provisions
§15
Amendments to the Foundation's statute are made by the Management Board with an absolute majority of votes, with at least half of the eligible members present. Amendments may include the goals specified in the founding act.
§16
The Foundation may merge with another foundation to effectively pursue its objectives.
A merger cannot occur if it would significantly alter the Foundation's purpose.
Decisions regarding a merger with another foundation are made by the Management Board with an absolute majority of votes, with at least half of the eligible members present.
§17
The Foundation is dissolved if its objectives are achieved or if its financial and material resources are exhausted.
The Management Board notifies the Minister of Education and Science of the Foundation’s dissolution.
The decision to dissolve the Foundation is made by the Management Board with an absolute majority of votes, with at least half of the eligible members present.
The Founders may also decide on the dissolution.
Members of the Management Board or the Founders serve as liquidators.
Financial resources and assets remaining after the Foundation's dissolution may, by resolution of the Management Board, be allocated to organizations in Poland with similar objectives.
